Techcombank to issue stock dividends

Techcombank plans to issue over 3.5 billion shares as stock dividends and distribute nearly 30 million employee stock ownership plan shares, boosting its charter capital to more than 106.5 trillion VND.

On 24/8, Vietnam Technological and Commercial Joint Stock Bank (Techcombank, HOSE: TCB) announced documents for a written shareholder consultation regarding a plan to increase its charter capital. This plan involves issuing shares as dividends from undistributed post-tax profits and distributing employee stock ownership plan (ESOP) shares to employees.

Under the proposal, Techcombank plans to issue 3.543 billion shares as dividends to existing shareholders, representing a 50% ratio. The funding for this comes from accumulated undistributed profits, based on the audited financial statements for 2025. The bank also intends to issue 29.98 million ESOP shares to employees, valued at a total of 299.77 billion VND, corresponding to an issuance ratio of over 0.28%.

Following these issuances, Techcombank's charter capital is projected to reach 106.59 trillion VND, positioning it as Vietnam's largest private bank by charter capital. The issuance is expected to be completed in Q4/2026, after the bank finalizes all regulatory procedures.

According to recent data from VNTAX200, Techcombank led the private bank sector in Vietnam's list of 20 largest budget contributors for 2026, with a contribution of nearly 11 trillion VND to the state budget in 2025. This marks the first time a private bank has reported a budget contribution exceeding 10 trillion VND. This achievement places Techcombank among the top-ranked private banks and indicates that the sector's contribution is nearing that of industry leaders.

Techcombank also recently announced its business results for the first half of 2026. The bank reported a pre-tax profit of 18.5 trillion VND, a 22.5% increase compared to the same period last year. Q2 alone saw the highest profit recorded to date. During the first six months, Techcombank's total operating income reached 28.6 trillion VND, up 17.5% year-on-year, with improvements across various business segments.

Additionally, Techcom Securities (stock code TCX) has been included in the FTSE Global Equity Index Series (FTSE GEIS) following FTSE Russell's semi-annual review. FTSE GEIS is a major global stock index system, encompassing over 19,000 securities across large, mid, small, and micro-cap segments in dozens of developed and emerging markets. The indices within this system are widely used as benchmarks and serve as the basis for many passive investment funds and international ETFs.
