Herbalife is set to acquire certain assets of Bioniq, a personalized nutrition company, for approximately 55 million USD. This strategic move aims to bolster Herbalife's personalized nutrition and wellness offerings. The transaction is expected to finalize in Q2.
Under the agreement, the 55 million USD will be paid over five years, with 10 million USD disbursed upon the deal's completion. Herbalife also has the potential to pay up to an additional 95 million USD, contingent on Bioniq's future performance.
Following the acquisition, Bioniq's products are anticipated to be distributed starting late this year in select European and US markets through Herbalife's extensive network, with plans for expansion into other regions thereafter.

Herbalife views this acquisition as a crucial step in its transition towards a technology- and data-driven health platform model. The company's leadership recognizes that personalization and data are emerging as dominant trends in the nutrition industry, creating new avenues for growth.
"By combining Bioniq's personalized supplement technology with Pro2col and Herbalife's global distributor network, we are expanding our ability to deliver personalized wellness solutions on a global scale," shared Stephan Gratziani, Chief Executive Officer of Herbalife.
Bioniq, founded in 2019 in London, UK, specializes in developing personalized supplement formulas. Its patented technology integrates individual health history data and biomarkers. The company's products cater to a wide range of customers, from those focused on daily health to professional athletes. Bioniq has built a large-scale personalized nutrition database, serving hundreds of thousands of users in numerous countries.
According to Vadim Fedotov, Bioniq's founder and Chairman, the company was established with the goal of optimizing health based on biological data and lifestyle. He believes that partnering with Herbalife will significantly expand user access to Bioniq's solutions through Herbalife's established global distribution system.
This acquisition aligns with Herbalife's broader strategy of expanding its personalized product portfolio, following previous investments in companies like Pro2col and Link BioSciences. The company anticipates that the synergy between Bioniq's technology, Herbalife's manufacturing capabilities, and its distribution network will accelerate the introduction of new personalized products to the market.
As part of the transaction, Herbalife also holds an option to acquire Bioniq LAB, a research platform focusing on small molecules and peptides. This option provides additional potential for long-term development and innovation.
Cristiano Ronaldo, Herbalife's global nutrition partner and a Bioniq shareholder, emphasized the critical role of personalized nutrition in maintaining peak athletic performance. The Portuguese superstar noted that integrating Bioniq's products could enable more individuals to access solutions better suited to their unique health conditions.
